1. Agreement to These Terms
These Terms of Service govern access to and use of LinkWave websites, applications, workspaces, APIs, reports, exports, collaboration features, AI-assisted features, support, documentation, and related services.
By creating an account, accepting an invitation, signing an order, starting a trial, or using the service, you agree to these Terms for yourself and, if you act on behalf of an organization, for that organization.
If you use LinkWave on behalf of an organization, you represent that you have authority to bind that organization. The organization is responsible for its Authorized Users, workspace activity, Customer Content, and compliance with these Terms.
2. Accounts, Workspaces, and Administrators
You must provide accurate account, billing, and organization information and keep it current. You are responsible for account credentials, devices, authentication methods, and activity under your account.
Organization owners and administrators may invite users, assign roles, manage workspace settings, view activity, access Customer Content, control exports and sharing, manage billing, and remove users. You are responsible for understanding the access rights granted inside your workspace.
We may refuse, suspend, limit, or terminate access where reasonably necessary to protect the service, comply with law, address payment or security risk, investigate misuse, or enforce these Terms.
3. Service Plans, Trials, Tokens, and Billing
Certain features may require a paid subscription, usage token, credit, trial, enterprise order, or other commercial arrangement. Plan limits, usage allowances, support levels, renewal dates, and feature availability may be stated at checkout, in the service, on an invoice, or in an order form.
You authorize LinkWave and our payment processors to charge applicable fees, taxes, renewals, usage charges, and other amounts due under your plan or order. Unless a separate written agreement says otherwise, fees are due when charged or invoiced and are non-refundable except where required by law.
Trials, credits, tokens, promotional allowances, and preview features may be limited, expire, be revoked, or be changed prospectively. Unused tokens or credits do not create a cash balance unless expressly stated in writing.
We may update plans, prices, included usage, limits, or billing terms prospectively. If you do not accept a change to paid terms, you may cancel or stop using paid features as permitted by your plan.
4. Customer Content and Your Responsibilities
As between you and LinkWave, you retain ownership of Customer Content, subject to the rights granted in these Terms and any rights held by third parties.
You grant LinkWave a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, format, parse, extract, analyze, summarize, transform, generate outputs from, and otherwise process Customer Content as needed to provide, secure, support, maintain, and improve the service.
You are responsible for Customer Content, including its legality, accuracy, quality, permissions, backup, and suitability for processing. You represent that you have all rights and notices required to upload, process, share, export, and use Customer Content in LinkWave, including drawings, reports, parcel data, financial assumptions, personal information, confidential materials, and third-party content.
Do not upload sensitive personal information, regulated health information, payment-card data, export-controlled information, or other highly sensitive materials unless your agreement with LinkWave expressly permits that use and appropriate controls are in place.
5. AI-Assisted Features and Professional Review
LinkWave provides software, automation, and AI-assisted tools for planning, feasibility, code analysis, document review, reporting, research, and workflow support.
AI-assisted outputs, extracted evidence, citations, zoning summaries, calculations, financial assumptions, scenarios, maps, reports, and recommendations may be incomplete, outdated, inconsistent, or wrong. Outputs may also vary when the same or similar input is submitted more than once.
LinkWave does not provide legal, architectural, engineering, financial, tax, investment, permitting, zoning, construction, safety, or other licensed professional advice. You are responsible for independent review by qualified professionals and for checking official records, authorities having jurisdiction, source documents, current codes, site conditions, and applicable law before relying on any output.
You are responsible for decisions, filings, designs, estimates, bids, permits, purchases, investments, construction activity, and other actions taken based on the service.
6. Restrictions and Acceptable Use
You may not use the service to violate law, infringe rights, misappropriate data, submit unlawful or harmful content, upload malware, interfere with the service, attempt unauthorized access, bypass limits, probe security controls, overload infrastructure, or disrupt other users.
You may not scrape, crawl, harvest, benchmark, monitor availability, reverse engineer, decompile, or attempt to derive source code, models, prompts, non-public APIs, or underlying systems except to the extent applicable law prohibits this restriction.
You may not use LinkWave or its non-public features, interfaces, workflows, outputs, or documentation to train or build a competing product, foundation model, dataset, or service without our written permission.
You may not use outputs in a manner that creates unsafe, deceptive, discriminatory, unlawful, or professionally negligent conditions.
7. Third-Party Services, Public Records, and Integrations
The service may rely on or connect to third-party providers, public records, map services, zoning and code references, property data, payment processors, authentication providers, hosting services, storage providers, AI providers, search tools, communication providers, and other integrations.
Third-party services and data may be subject to separate terms, fees, usage limits, availability limits, attribution requirements, and privacy practices. LinkWave is not responsible for third-party services or data outside our control.
Public records, zoning references, code text, parcel data, maps, and other source materials may be incomplete, delayed, inaccurate, unavailable, or not authoritative for a particular property or jurisdiction. You are responsible for verifying information with official sources.
8. Ownership, License, and Feedback
LinkWave and its software, interfaces, workflows, designs, models, prompts, templates, documentation, trademarks, logos, and other technology are owned by LinkWave or its licensors and are protected by intellectual-property and other laws.
Subject to these Terms and your plan, LinkWave grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes.
These Terms do not transfer ownership of LinkWave technology, third-party data, or Customer Content. You may not remove proprietary notices, misuse LinkWave marks, or represent that LinkWave endorses your work unless we agree in writing.
If you provide feedback, suggestions, ideas, or requests, LinkWave may use them without restriction, attribution, or compensation.
9. Confidentiality
Each party may receive non-public business, technical, financial, product, security, or workspace information from the other party that should reasonably be understood to be confidential.
The receiving party will use reasonable care to protect confidential information, will use it only for purposes related to the service or the parties’ relationship, and will disclose it only to personnel, contractors, advisers, service providers, or affiliates who need to know it and are bound by appropriate obligations.
Confidentiality obligations do not apply to information that is public without breach, independently developed, rightfully received from a third party without confidentiality obligations, or approved for release by the disclosing party. A receiving party may disclose confidential information when required by law if it gives notice where legally permitted.
10. Beta, Preview, and Experimental Features
We may offer beta, preview, prototype, experimental, early-access, or evaluation features. These features may be incomplete, changed, limited, suspended, or discontinued at any time.
Beta and preview features are provided for evaluation and feedback unless stated otherwise. They may have reduced support, reduced availability, additional usage limits, and higher risk of errors or data loss.
If LinkWave invites you or your organization to a private beta, pilot, preview, or evaluation by direct email or other non-public communication, the invitation, related materials, product access, features, screenshots, workflows, roadmap information, performance information, documentation, and feedback discussions are LinkWave confidential information unless we state otherwise in writing.
By accepting the invitation, creating an account, accessing the beta, or continuing to use the service after receiving the invitation, you agree to keep that non-public beta information confidential, use it only to evaluate LinkWave, not disclose it to third parties without our written permission, and protect it with at least reasonable care. If a separate written NDA or beta agreement applies, that agreement controls where it conflicts with these Terms.
11. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law, LinkWave disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.
We do not warrant that outputs, reports, exports, analyses, evidence, citations, calculations, maps, data, summaries, recommendations, AI-generated content, or third-party materials will be complete, current, accurate, compliant, accepted by an authority, or suitable for a particular use.
We do not warrant that the service will meet every requirement, be uninterrupted or error-free, preserve every item of Customer Content, or remain compatible with every third-party system or data source.
12. Limitation of Liability
To the fullest extent permitted by law, LinkWave will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, business opportunity, or business interruption.
To the fullest extent permitted by law, LinkWave’s total liability for all claims relating to the service will not exceed the amounts paid by you to LinkWave for the service giving rise to the claim during the 12 months before the event giving rise to liability, or 100 US dollars if you have not paid LinkWave.
The limitations in this section apply regardless of the theory of liability, whether contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if a remedy fails its essential purpose.
13. Indemnification
You will defend, indemnify, and hold harmless LinkWave and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from Customer Content, your use of the service, your violation of these Terms, your violation of law, your professional services or advice, or your infringement or misappropriation of third-party rights.
14. Suspension and Termination
You may stop using the service at any time. Cancellation, non-renewal, workspace deletion, data export, and post-termination access may depend on your plan, order terms, account status, and product functionality.
We may suspend or terminate access if you violate these Terms, fail to pay amounts due, create risk for the service or others, expose LinkWave to legal or security risk, or if required by law.
After termination or expiration, your right to access the service ends, but these Terms continue where their nature requires survival, including payment obligations, ownership, confidentiality, restrictions, disclaimers, limitations of liability, indemnification, dispute terms, and provisions relating to Customer Content.
15. Changes to the Service or Terms
We may modify, add, remove, suspend, or discontinue features, integrations, plans, documentation, limits, and support channels over time.
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. If changes are material, we may provide additional notice through the service, by email, or as otherwise required by law.
Your continued use of the service after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the service and cancel any paid plan as permitted by your plan.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Unless otherwise required by law or agreed in a separate written agreement, the state and federal courts located in Santa Clara County, California will have exclusive jurisdiction over disputes arising from or relating to these Terms or the service, and each party consents to those courts.
